In
late 1998, a new fitness club concept that combined a boxer and kickboxer's
workout regimen with an environment that is fun and appeals to people
of all fitness levels was created. The original The Boxing Club
was on the third story of a Pacific Beach gym in only 3,000 square
feet of space. The first clients seeking our unique services found
themselves climbing several flights of stairs to enter a doorway that
exploded into a world of color, music, neon, murals, equipment, a
diamond-plate steel ring and PLENTY OF ACTION. People came from all
over seeking out an alternative to the "traditional gym"
and found a fun, non-threatening environment and a workout they loved
to do. Fitness drill classes such as Cardio Combat along with Boxing
and Kickboxing training packed the house with people in search of
the ultimate workout!

Capital Management, LLC purchased The Boxing Club Holdings and the

Hour Fitness®, the world's largest privately owned and operated
fitness center chain, began as a one-club operation in 1983. From
the start, 24 Hour Fitness Chairman and CEO, Mark S. Mastrov, had
a vision to make fitness a way of life by creating the ultimate in
multi-sport fitness centers and make them affordable and accessible
to people of all abilities and fitness levels.
By the end of 1994, that lone club
had grown to more than 32 fitness centers in Northern California,
giving birth to the 24 Hour Nautilus fitness chain. Convenient locations,

The 340+ club chain made it's debut
on reality television in 2004. 24 Hour Fitness worked closely with
executives at NBC on developing a new reality show, "The Biggest
Loser," which featured 12 overweight contestants competing to
lose weight over several months. 24 Hour Fitness built an onsite gym,
including all state-of-the-art equipment, at the ranch where contestants
lived while competing on the program. The show, which aired in late
2004 and early 2005, showcased 24 Hour Fitness' mission to make fitness
a way of life for everyone, no matter what their fitness ability.

Gold's Gym has been the authority
on fitness since 1965 dating back to the original Gold's Gym in Venice,
California. It was the place for serious fitness. Gold's Gym quickly
became known as "The Mecca of Bodybuilding.'' In 1977, Gold's
Gym received international attention when it was featured in the cult
favorite, Pumping Iron, starring Arnold Schwarzenegger and Lou Ferrigno.

Established
in Southern California in 1984, LA Fitness owns and operates Sports
Clubs in California, Arizona, Florida, Georgia, Pennsylvania, New
Jersey, New York, Connecticut, Texas, and Washington. By the end of
year 2005, the Company expects to have over 135 clubs in operation
with planned expansion into new markets. A significant part of our
success can be attributed to our ongoing commitment to keep our facilities
on the cutting edge. This commitment is clear from the new state of
the art sports clubs we build as well as the periodic facelifts we
give to existing facilities. In addition, we keep our finger on the
pulse of the aerobics revolution.
